GST surrender is the formal process of cancelling your GSTIN, your GST Identification Number, when you no longer need it. It's also called "GST Cancellation," and both terms refer to the same thing.

People apply for surrender in different situations: the business has shut down, annual turnover has dropped below the registration threshold, the business structure changed, or the business was merged into another entity. Whatever the reason, the legal obligation is the same; if your GSTIN is no longer valid for your current situation, you're required to cancel it properly.

What most people don't realize is that holding on to an inactive GSTIN after business closure isn't a neutral act. It creates real problems: monthly filing obligations that don't go away just because your business did, and late fees that keep accumulating in the background.

Who Needs to Surrender Their GST Registration?

  • Closure Your business has permanently closed

    If operations have ended and you're not going to restart, surrender is mandatory. All pending returns have to be filed before the application is accepted.

  • Threshold Turnover dropped below the threshold

    If your annual turnover has fallen below ₹20 lakh (₹10 lakh for special category states) and you registered voluntarily when it was higher, you can apply to surrender.

  • Restructuring Business structure changed

    A sole proprietorship converting to a private limited company or a partnership firm dissolving: in both cases the old GSTIN needs to go. A fresh registration is needed for the new entity.

  • Merger Business transferred or merged

    When a business is fully transferred to another entity or merged through amalgamation, the original GSTIN has to be cancelled. The transferee may need their own fresh registration.

  • No Supplies Stopped making taxable supplies permanently

    If your business no longer sells goods or provides services that attract GST, you're required to surrender the registration.

  • Scheme Switch Switching to the Composition Scheme

    A regular GST taxpayer opting for the Composition Scheme can't just switch over. The existing GSTIN must be cancelled and a separate registration obtained under the scheme.

The Three Ways a GSTIN Can Be Cancelled

REG-16

Voluntary Surrender

You initiate this. Filed using Form GST REG-16 on the GST portal. You specify the reason and the date from which you want the cancellation to take effect.

Default

Officer-Initiated Cancellation

The tax department initiates this if returns haven't been filed for an extended period, if the registration was obtained fraudulently, or if the business is found non-existent after verification. This type of cancellation is treated as a compliance default.

Auto

Deemed Suspension

The moment you file a surrender application, your GSTIN enters suspension. During this period, you can't issue a tax invoice under that GSTIN. The suspension stays until the cancellation order is passed.

Legal Requirements Before You File

A few things have to be in order before the surrender application goes through.

All pending GST returns must be filed. GSTR-1, GSTR-3B: every unfiled period has to be cleared. If there are dues, those need to be paid. The portal won't process a surrender application with outstanding returns.

If you're a company or LLP, a valid DSC (Digital Signature Certificate) is mandatory to file the application. Make sure it's not expired before you start. Proprietorships and individuals can use EVC — the OTP sent to your PAN-linked mobile number.

You'll also need to declare your closing stock. Whatever inputs, semi-finished goods, finished goods, or capital goods you held on the date of cancellation need to be reported because ITC reversal may apply to that stock.
